{"id":47,"date":"2021-04-05T12:12:20","date_gmt":"2021-04-05T05:12:20","guid":{"rendered":"http:\/\/www.wizpro.com.vn\/?p=47"},"modified":"2021-04-21T11:01:43","modified_gmt":"2021-04-21T04:01:43","slug":"filing-requirements-recordal-of-license-agreement-in-vietnam","status":"publish","type":"page","link":"https:\/\/www.wizpro.com.vn\/index.php\/filing-requirements-recordal-of-license-agreement-in-vietnam\/","title":{"rendered":"What are Requirements for License Recordal in Vietnam?"},"content":{"rendered":"\n<h1 class=\"wp-block-heading\" style=\"font-size:28px\">What are Requirements for License Recordal in Vietnam?<\/h1>\n\n\n\n<h3 class=\"wp-block-heading\">Minimum Requirements for a License Agreement<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>A license agreement must at least includes the following contents:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Full name and address of the licensor and licensee;<\/li><li>Details of the subject to be licensed (information on granted trademark registration or patent);<\/li><li>Scope of the license including:<br>&#8211; type of license (exclusive or non-exclusive);<br>&#8211; object(s) of the license determined by the restrictions on the right to use and the restrictions on the industrial property object (patent for invention\/utility model\/industrial design or certificate of registration of trademark);<br>&#8211; territorial restriction (Vietnam or part of Vietnam);<br>&#8211; term of license (must be within the term of the patent for invention\/utility model\/ industrial design or of the certificate of registration of trademark; or the term the corresponding exclusive license if this is a sub-license);<br><em>In case of a sub-license, the license scope must fall within the license scope of the corresponding exclusive<\/em> <em>license.<\/em><\/li><li>Price of the license and term of payment;<\/li><li>Rights and obligations of each party;<\/li><li>Conditions for amendment, termination and invalidation of the agreement;<\/li><li>Method of settlement when complains or disputes arise;<\/li><li>Date and place of signing;<\/li><li>Signatures of the parties or of their authorized representatives with the full names, and positions of the signatories.<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Documents Required for Recordal of a License Agreement<\/h3>\n\n\n\n<ul class=\"wp-block-list\"><li>A <a href=\"https:\/\/www.wizpro.com.vn\/wp-content\/forms\/POA_4VN_EN.zip\">Power of Attorney<\/a> (PoA) from the applicant (assignor or assignee) (required at the time of filing);<\/li><li>Two original or certified copies of the agreement, including appendix or appendices (if any) and their Vietnamese translations;<\/li><li>A certified copy of the patent of invention\/utility model\/industrial design or certificate of registration of trademark. If the agreement to be approved is a sub-license agreement, it must be accompanied by a copy of the certificate of registration of the corresponding exclusive agreement;<\/li><li>A notarized copy of business license\/investment license if the assignee is a Vietnamese entity.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Notes:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><em>Recordal of license agreement with the <a href=\"http:\/\/ipvietnam.gov.vn\" target=\"_blank\" rel=\"noreferrer noopener\" title=\"http:\/\/ipvietnam.gov.vn\">Intellectual Property Office of Vietnam<\/a> is not compulsory. However, to be enforceable with third parties, it must be recorded with the IP Vietnam;<\/em><\/li><li><em>Request for recordal should be filed within <strong>60 days<\/strong> from the date of signing of the agreement;<\/em><\/li><li><em>Multiple page agreement must have signatures of both assignor and assignee on each page or all pages must be attested and marginally stamped;<\/em><\/li><li><em><em>For all applications including applications for patent, trademark and industrial design, Power of Attorney form just needs to be filled in and signed.
